These Terms and Conditions (“Terms”) govern your use of HALEY – SOX Compliance Advisor (“HALEY,” “we,” “our,” or “us”), an AI-powered software-as-a-service (SaaS) tool designed to support Sarbanes-Oxley (SOX) compliance activities. By accessing or using HALEY, you agree to be bound by these Terms. If you do not agree, you may not use the service.

1. Services Provided

HALEY – SOX Compliance Advisor is provided as a subscription-based SaaS tool to assist organizations and professionals with:

• Risk and Control Matrix (RACM) design and documentation
• Segregation of Duties (SoD) analysis
• ITGC/ITAC control design support
• Guidance aligned with COSO, PCAOB, COBIT, and ISACA frameworks
• Important: HALEY provides advisory guidance only. It is not a substitute for professional audit judgment or legal/regulatory advice.

2. Subscription Plans and Billing

HALEY is offered under monthly subscription plans (Free, Professional, Enterprise).
Subscriptions are billed in advance on a recurring monthly basis until canceled.
Payments are processed securely through third-party payment providers.
By subscribing, you authorize us to charge your chosen payment method on a recurring basis.

3. Free Plan Usage

The Free Plan provides limited daily interactions (e.g., 10 per day).
Professional and Enterprise plans provide unlimited interactions subject to fair usage (see Section 6).
Features are otherwise consistent across all plans.

4. Account Registration

To use paid subscription tiers, you must:

• Provide accurate business information (name, company, business email).
• Keep account information up to date.
• Maintain the confidentiality of your login credentials.
• Guidance aligned with COSO, PCAOB, COBIT, and ISACA frameworks
• You are responsible for all activity under your account.

5. Cancellations and Refunds

Subscriptions may be canceled at any time through your account settings.
Cancellations take effect at the end of the current billing cycle.
We do not provide pro-rated or partial refunds.

6. Fair Usage Policy

To maintain system performance for all users:

• Excessive, abusive, or automated requests may result in temporary suspension.
• Use of bots, scripts, or scraping tools to access HALEY is prohibited.
• Enterprise clients requiring high-volume interactions must use authorized integrations.

7. Acceptable Use

You agree not to use HALEY for:

• Any unlawful, fraudulent, or abusive purposes.
• Attempting to reverse engineer, copy, or resell the service.
• Uploading or submitting sensitive personal data (e.g., Social Security numbers, health information, etc.).
• Circumventing or interfering with security features.
• We reserve the right to suspend or terminate accounts for violations.

8. Data Privacy

HALEY does not store or retain user interaction data.
Subscription account information (e.g., name, business email, billing data) may be collected solely for account and billing management.
All data handling practices are governed by our Privacy Policy.

9. Service Availability and Support

HALEY is provided on an “as is” and “as available” basis.
We make reasonable efforts to ensure uptime but do not guarantee uninterrupted service.
Professional and Enterprise subscribers receive priority support, with dedicated onboarding available for Enterprise clients.

10. Intellectual Property

All rights, title, and interest in HALEY (software, models, documentation, templates, and branding) remain with HALEY – SOX Compliance Advisor.
You are granted a limited, non-exclusive, non-transferable license to use the service during your subscription.
You may not copy, modify, distribute, or create derivative works based on HALEY without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law:

• HALEY is not responsible for audit outcomes, regulatory penalties, or financial reporting errors.
• HALEY provides guidance only and does not guarantee SOX compliance or auditor acceptance.
• Our total liability shall not exceed the amount you paid in subscription fees in the 3 months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account if you:

• Breach these Terms.
• Misuse or abuse the platform.
• Fail to pay subscription fees.
• Termination will not relieve you of any outstanding payment obligations.

13. Modifications to the Service or Terms

We may update or modify HALEY features, pricing, or these Terms at any time.
Material changes will be communicated via email or platform notice.
Continued use after changes constitutes acceptance of updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of laws.
